Terms of Service

1. Eligibility

You must be at least 18 years old and have the authority to bind the business entity you represent. By using the Service, you represent that you meet these requirements.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate and complete information during registration. You agree to notify us immediately of any unauthorized use of your account.

3. Service Description

WithGenies is an AI-powered B2B distribution channel management platform. The Service includes portfolio analysis, customer geo-mapping, prospect discovery, market intelligence, competitive monitoring, AI-generated insights, and autonomous agent-driven outreach campaigns. Features vary by plan tier.

5. Bring Your Own Keys (BYOK)

The Service operates on a BYOK model for third-party vendor integrations. You are responsible for creating and maintaining your own accounts with vendors (for example, Twilio, VoiceDrop, HeyGen, Handwrytten, and Resend) and for any costs incurred with those vendors. We are not responsible for the availability, pricing, or terms of third-party vendor services.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Upload data containing malware, viruses, or harmful code.
• Attempt to gain unauthorized access to the Service or its infrastructure.
• Use the Service to send unsolicited communications in violation of anti-spam laws, including CAN-SPAM and TCPA.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service without our prior written permission.
• Use the Service in a manner that could damage, disable, or impair the Service.
• Abuse usage limits by creating multiple accounts to circumvent caps.

8. TCPA and Outreach Compliance

When using the Service for outreach campaigns (voicemail, SMS, or email), you are responsible for ensuring compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal, state, and local laws. The Service provides tools to help manage consent status, but compliance is ultimately your responsibility. You agree to maintain proper opt-out mechanisms and honor all unsubscribe requests.

9. AI-Generated Content

The Service uses artificial intelligence to generate insights, briefings, recommendations, and other content. AI-generated content is provided for informational purposes only and does not constitute professional, legal, financial, or business advice. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You are responsible for reviewing and validating any AI-generated content before acting on it.

10. Intellectual Property

The Service, including its design, code, features, AI models (as configured), documentation, and branding, is the property of Lalify Ops LLC and is protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.

The names "WithGenies," "Kate," "Clara," "Diego," "Elena," "Felix," and associated Genie character names are trademarks of Lalify Ops LLC.

11. Payment Terms

• All payments are processed by Stripe and are in US dollars unless otherwise specified.
• One-time purchases are non-refundable after the portfolio analysis has been generated.
• Annual subscriptions may be cancelled for a full refund within 14 days of purchase if you are not satisfied.
• After the 14-day period, cancellations take effect at the end of the current billing period. No prorated refunds are provided.
• We reserve the right to change pricing with 30 days' notice. Price changes do not affect active founding member subscriptions.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service interruptions.

13. Limitation of Liability

To the maximum extent permitted by law, Lalify Ops LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Lalify Ops LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated insights will be accurate or that the Service will meet your specific business requirements.

16. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Broward County, Florida. You agree to submit to the personal jurisdiction of such courts.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lalify Ops LLC regarding the Service.
